Welcome to RelayInstant. By accessing or using our service, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our service.
1. Definitions
- "Service" refers to the RelayInstant platform, including our website, dashboard, WhatsApp integration, and all related features.
- "User," "you," or "your" refers to the individual or business entity that registers for and uses the Service.
- "We," "us," or "our" refers to RelayInstant.
- "Connected Platform" refers to any third-party service (e.g., Rent Manager, QuickBooks) that you link to your RelayInstant account.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
3. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at web@relayinstant.com if you suspect unauthorized access to your account.
4. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service for any fraudulent, illegal, or unauthorized purpose.
- Attempt to gain unauthorized access to any part of the Service or its systems.
- Interfere with or disrupt the operation of the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Transmit any malicious code, viruses, or harmful content through the Service.
- Use the Service to send spam or unsolicited messages via WhatsApp.
5. Connected Platforms
When you connect a third-party platform to RelayInstant:
- You authorize us to access and interact with that platform on your behalf using the credentials you provide.
- You are responsible for ensuring that your use of RelayInstant complies with the terms of service of the connected platform.
- We are not responsible for any actions taken on the connected platform as a result of your instructions sent through WhatsApp.
- You acknowledge that incorrect or ambiguous instructions may result in unintended actions on your connected platforms.
6. WhatsApp Integration
Our Service operates through WhatsApp Cloud API. By using the Service:
- You agree to comply with WhatsApp's Terms of Service and acceptable use policies.
- You understand that message delivery depends on WhatsApp's availability and is not guaranteed.
- You acknowledge that voice notes are processed using AI transcription and may not always be 100% accurate.
- You are responsible for reviewing confirmations and verifying the accuracy of actions performed on your behalf.
7. Fees and Billing
During the early access period, the Service is offered free of charge. We reserve the right to introduce paid plans in the future. If pricing changes occur:
- We will notify you in advance before any charges apply.
- You will have the option to cancel your account before being charged.
- Early adopters may receive special pricing or grandfathered rates at our discretion.
8. Intellectual Property
All content, features, and functionality of the Service (including but not limited to text, graphics, logos, and software) are owned by RelayInstant and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our written consent.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- AI-powered features (including natural language parsing and voice transcription) will always produce accurate results.
- Actions performed on connected platforms will always reflect your exact intent.
10. Limitation of Liability
To the fullest extent permitted by law, RelayInstant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data.
- Errors in payment processing, invoicing, or other financial actions taken through the Service.
- Damages resulting from unauthorized access to your account.
- Service interruptions or downtime.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us (if any) in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless RelayInstant, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
- You may terminate your account at any time by contacting us.
- We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion.
- Upon termination, your right to use the Service ceases immediately, and we may delete your account data in accordance with our Privacy Policy.
13. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date and may notify you via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved in the appropriate courts of competent jurisdiction.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
